Membership Agreement
This Agreement is made this {dayord} day of {month} {year} between BCA Leadership, a company registered in Mauritius with its registered offices at Suite 113, First Floor, Grand Baie Business Park, Phase 1, Grand Baie, Republic of Mauritius (hereinafter referred to as “Promoter” or “BCA”) of the one part and {name} (hereinafter referred to as “Member”), of the other part, together known as the Parties.
WHEREAS
A. The Promoter operates, facilitates, manages, and organizes BCA Leadership (“BCA”), a Pan-African membership organization for heads of organizations, through a network of Independent Agents.
B. The Member is a leader of a company in {org} and is desirous of becoming a member of BCA Leadership.
IT IS HEREBY AGREED BETWEEN THE PARTIES AS FOLLOWS:
1. Promoter will organize and facilitate monthly peer learning meetings and executive coaching sessions.
2. Member will pay an Annual Membership Fee (“AMF”) to Promoter for membership. This payment of the AMF is due in advance of the 12-month period for which the AMF is being paid.
3. The AMF is {amount} ({words}) per year for the {tier} Membership level that entitles the Member to participate in {x} peer learning meetings and receive {y} executive coaching sessions.
4. Duration of Agreement: This Agreement is evergreen. The effective start date of this Agreement is the date when both parties have signed this document.
5. Termination of Agreement: Either party may terminate this Agreement without cause with one month written notice to the other party. Failure to pay the Annual Membership Fee (“AMF”) constitutes a termination of this Agreement. If Promoter terminates the Agreement, Promoter agrees to reimburse to Member the prorated portion of the annual fees that have been paid in advance based on the effective date of termination. If Member terminates the Agreement, there will be no refund/reimbursement to Member of any unused portion of the annual fees.
6. Fee Changes: Any changes to the Annual Membership Fee (“AMF”) will be communicated by Promoter to Member 30 days before the effective date of fee change. Fee changes will only apply to Member at the time of payment of annual membership fee.
7. Taxes: The Annual Membership Fee (“AMF”) is net of any taxes payable to the local authorities of the Member’s Country of residence/operation. Member shall be responsible for their own tax obligations to the local authorities of the Country in which the Member resides/operates for all funds paid to the Promoter.
8. Confidentiality: Throughout the term of this Agreement and following termination hereof for any reason, both parties agree to hold inviolate and keep secret all non-public knowledge or information processes, know-how, and other confidential information made known to it or otherwise acquired during the term of this Agreement and will not disclose the same or anything related thereto to any other person, or entity, or make use of such information for any purpose, except as may be required in the course and scope of performing its obligations under this Agreement or as part of any mandatory reporting required by law.
9. Force Majeure: If and to the extent that on account of force majeure any Party fails to perform any of its obligations under this Agreement for a period of 30 days or less, such failure shall not constitute a breach of this Agreement provided that the other party has been notified immediately in writing of the same.
10. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Mauritius.
11. Dispute Resolution: Any dispute arising out of this Agreement which cannot be settled amicably between the parties shall be submitted to arbitration by an independent arbitrator acceptable to both parties under the Laws of Mauritius. Any award of such arbitrator shall be final and binding on all parties.
12. Entire Agreement: This is the entire Agreement between the parties and supersedes all prior negotiations or agreements. Any modifications to this Agreement must be made in writing and signed by the parties.
In acceptance of the terms and conditions contained herein, this Agreement is signed and dated for and on behalf of the Promoter by Modupe Taylor-Pearce, CEO, BCA Leadership, and for the Member by {name} ({org}), electronically, on {day} {month} {year}.
